Refund Policy
Prime Registered Agent (“Prime Registered Agent,” “we,” “us,” or “our”) provides compliance-based business services that are activated immediately upon purchase. Please review this Refund & Cancellation Policy carefully before purchasing or renewing any service.
All Sales Are Final
All fees paid to Prime Registered Agent are non-refundable once a service has been purchased and activated.
Services are considered activated immediately upon purchase, at which point system access, compliance coverage, registered agent designation, and/or address availability are reserved for the client. As a result, no refunds or credits are issued for early cancellation, non-use, or partial use of any service.
Registered Agent & Address Services
Registered Agent and virtual address services are billed annually in advance and are non-refundable, including but not limited to circumstances involving:
- Early termination of service
- Change in business plans or entity status
- Failure to use the service
- Partial use of the service
Once Prime Registered Agent’s address has been used or associated with a client’s business—whether through state or federal filings, financial institutions, websites, marketing materials, or any public or private records—the service is deemed fully rendered and remains ineligible for any refund.
No prorated refunds or credits are provided for unused portions of the billing term.
Business Filing Services
Business filing services, including but not limited to LLC formations, corporation formations, EIN services, seller’s permits, and statements of information, are non-refundable once submitted to any government agency, regardless of approval or rejection.
If a filing request is canceled prior to submission, Prime Registered Agent may, at its sole discretion, issue a partial refund less any administrative, processing, or third-party fees incurred.
Subscription Renewals
Certain services renew automatically at the end of each billing term.
Clients are responsible for canceling their subscription before the renewal date to avoid renewal charges. Charges resulting from failure to cancel prior to renewal are non-refundable.
How to Cancel a Subscription
All subscription cancellations must be completed through the client account portal.
To cancel future renewals, clients must:
- Log in to their Prime Registered Agent account
- Navigate to My Account
- Select Delete Account to terminate the subscription
Cancellation requests submitted via email, phone, chat, social media, or third-party platforms are not considered valid cancellation requests.
Upon account deletion:
- The subscription will not renew
- Services remain available through the end of the current billing term
- No refunds or prorated credits will be issued
Clients are responsible for ensuring the cancellation process is successfully completed and for retaining confirmation of cancellation. Prime Registered Agent is not responsible for incomplete cancellation attempts due to user error.
Limited Exceptions
Refunds may be considered only under limited circumstances, including:
- Duplicate charges
- Clerical or technical errors caused by Prime Registered Agent
- Services not rendered due to internal system failure
All exception requests must be submitted within 30 days of the original transaction date and are reviewed at Prime Registered Agent’s sole discretion.
Chargebacks & Payment Disputes
Initiating a chargeback or payment dispute does not alter or override this policy.
Prime Registered Agent reserves the right to provide documentation demonstrating service activation, address usage, account access, and acceptance of terms to financial institutions or payment processors in response to any dispute. Accounts associated with chargebacks may be restricted or terminated.
Acceptance of Policy
By purchasing or renewing any service from Prime Registered Agent, the client acknowledges and agrees to this Refund & Cancellation Policy, along with Prime’s Terms of Service.
Policy Modifications
Prime Registered Agent reserves the right to modify this policy at any time. Any changes will be posted on our website with an updated effective date.
