These Terms and Conditions (“Terms”) govern your access to and use of the website PrimeRegisteredAgent.com, the client portal, and the services provided by Prime Registered Agent (“Prime Registered Agent,” “Company,” “we,” “us,” or “our”). By accessing, browsing, or using this website or any services provided by Prime Registered Agent, you acknowledge and agree to be bound by these Terms, our Refund & Cancellation Policy, and all other policies incorporated by reference. If you do not agree to these Terms, you must immediately discontinue use of the website and services.
Acceptance of Terms
By accessing this website, creating an account, or purchasing any service, you expressly agree to these Terms. Continued access to or use of the website or services constitutes acceptance of any revisions or updates to these Terms. Prime Registered Agent reserves the right to modify these Terms at any time. Any modifications will be posted with a revised “Effective Date” on the website. Continued use after modifications constitutes acceptance of the updated Terms.
You are responsible for reviewing these Terms regularly.
Definitions
For the purposes of these Terms:
- “User,” “you,” or “your” refers to any individual or entity using the website or services.
- “Services” refers to registered agent services, virtual address services, business formation services, compliance services, and related offerings.
- “Account” refers to the client profile created to access and manage services, including the client dashboard and any associated portals.
Services Provided
Prime Registered Agent provides compliance-based business services, including but not limited to:
- Registered agent services in California
- Virtual address services and mail forwarding
- Business filing and formation services (LLCs, corporations, EINs, statements of information)
- Secure document storage, client dashboards, and related compliance resources
Services may be activated immediately upon purchase, at which point system access, designation, and/or address resources are reserved exclusively for the client. By purchasing a service, you acknowledge that service delivery is considered fully rendered upon activation, and fees are non-refundable in accordance with our Refund & Cancellation Policy.
Account Registration & Client Responsibilities
To access certain services, you must create an Account. You agree to:
- Provide accurate, complete, and up-to-date information
- Maintain the confidentiality of login credentials
- Promptly update any changes to your contact or business information
- Monitor your account activity and report unauthorized access immediately
You are fully responsible for all activity occurring under your Account, including any unauthorized use caused by failure to secure credentials.
Fees, Billing & Payment
All fees are disclosed prior to purchase. By providing payment information, you authorize Prime Registered Agent to charge all applicable fees, including recurring subscription charges where applicable.
Unless otherwise stated:
- All services are billed annually in advance
- All fees are non-refundable once services are activated
Refunds, cancellations, and renewals are exclusively governed by the Prime Registered Agent Refund & Cancellation Policy, which is incorporated into these Terms by reference.
You are responsible for all applicable state, local, or federal taxes, filing fees, and other governmental charges.
Auto-Renewal
Certain services automatically renew at the end of each billing term unless canceled through the client portal. Failure to cancel before renewal does not entitle you to a refund.
Cancellation of Services
All subscription cancellations must be completed through the client account portal.
To cancel future renewals:
- Log in to your Account
- Navigate to My Account
- Select Delete Account
Cancellation requests submitted via email, phone, chat, social media, or third-party platforms are invalid.
Upon successful cancellation:
- Services remain active until the end of the current billing term
- No refunds or prorated credits are issued
You are responsible for ensuring cancellation is completed and retaining confirmation.
USPS Form 1583 Requirement
Clients using Prime Registered Agent’s address must submit a completed USPS Form 1583 in accordance with United States Postal Service regulations.
Requirements:
- Form must be accurately completed and notarized if required
- Include valid government-issued identification
- Submitted within the timeframe specified by Prime Registered Agent
Failure to submit Form 1583 may result in:
- Suspension of mail handling or address services
- Rejection or return of mail
- Temporary or permanent suspension or termination of services
Submission of Form 1583 does not entitle the client to a refund and does not alter the Refund & Cancellation Policy.
Prime Registered Agent is not responsible for mail delays, rejected mail, or service interruptions caused by the client’s failure to submit a proper Form 1583.
Client Obligations & Prohibited Activities
Clients agree to:
- Provide accurate and complete information at all times
- Use services and addresses solely for lawful purposes
- Maintain proper compliance with all state, federal, and local laws
Prohibited Activities Include, But Are Not Limited To:
- Fraudulent, deceptive, or misleading activity
- Using Prime Registered Agent’s address for Google Local/Business Listings, Google Maps, or other public business listing services without explicit written permission
- Misrepresenting business ownership, operations, or entity status
- Any activity that violates applicable law, including mail fraud or identity fraud
- Circumventing Prime Registered Agent’s system controls, authentication, or mail handling procedures
Violation of these obligations may result in:
- Suspension or termination of services
- Legal action for damages
- No entitlement to refunds
Business Filing Services
Prime Registered Agent submits filings based on information provided by clients.
- Prime Registered Agent does not guarantee government approval or timing of filings
- Processing times may vary due to third-party agencies
- Government fees are non-refundable
Once a filing is submitted, the service is considered rendered, and fees are non-refundable.
No Legal, Tax, or Financial Advice
Prime Registered Agent is not a law firm and does not provide legal, tax, or financial advice. All information is for general informational purposes only. Clients should consult licensed professionals for advice specific to their situation.
Intellectual Property
All website content, logos, software, graphics, and materials are owned by Prime Registered Agent or its licensors. Copying, distribution, or commercial use without written permission is prohibited.
Third-Party Services
Prime Registered Agent may integrate or link to third-party services such as Stripe, USPS, or government filing portals. Prime is not responsible for the content, privacy, reliability, or security of third-party services. Use of third-party services is governed by their own terms and policies.
Suspension & Termination
Prime Registered Agent reserves the right to suspend or terminate your account or services, with or without notice, if you:
- Violate these Terms
- Misuse Prime Registered Agent’s services or address
- Fail to submit USPS Form 1583
- Engage in fraudulent, unlawful, or abusive activity
- Initiate unauthorized chargebacks
Termination does not entitle you to a refund. Prime Registered Agent may retain client data for legal, regulatory, or operational purposes.
Dispute Resolution & Arbitration
Any dispute arising from these Terms or the Services shall be resolved through binding arbitration in California, under the rules of the American Arbitration Association.
You waive your right to a jury trial and to participate in class actions.
Limitation of Liability
To the fullest extent permitted by law, Prime Registered Agent is not liable for indirect, incidental, consequential, or special damages, including but not limited to lost profits, mail delays, data loss, or filing rejections.
Total liability shall not exceed the fees paid for the service giving rise to the claim.
Indemnification
You agree to indemnify and hold harmless Prime Registered Agent, its officers, employees, and affiliates from any claims, liabilities, losses, or costs arising from your use of the Services, violation of these Terms, or breach of law.
Force Majeure
Prime Registered Agent is not responsible for delays or failure to perform due to causes beyond reasonable control, including natural disasters, civil unrest, power outages, government action, or internet interruptions.
Severability & Waiver
If any provision is found unenforceable, the remainder remains in full effect. Failure to enforce any provision is not a waiver.
Modifications
Prime Registered Agent may update these Terms at any time. Continued use of the services constitutes acceptance of the updated Terms.
Governing Law
These Terms are governed by the laws of the State of California.
